The agreement#
These Terms of Service (“Terms”) are an agreement between you and Operon (“Operon”, “we”, “us”) for use of the Operon website and hosted service (the “Service”). Our Privacy Policy explains how we handle personal information and forms part of these Terms.
If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind it, and “you” means that organisation.
Your account#
- You must be at least 18 years old and able to form a binding contract.
- Keep your sign-in details secure. You are responsible for activity under your account.
- Tell us promptly at support@operon.app if you suspect unauthorised access.
Agents act for you#
Operon plans and carries out actions in the apps you connect. Those actions are taken on your behalf and under your authority, as if you had taken them yourself.
- You choose what to allow. You decide which apps to connect, which permissions to grant and which actions require approval. Approval gates are on by default for sensitive actions.
- You review what matters. AI output can be wrong, incomplete or out of date. You are responsible for reviewing plans and results before relying on them, especially for legal, financial, medical or safety-related decisions.
- You can always stop a run. Every run can be paused or cancelled from the app, and every step is recorded in its audit trail.
We are not responsible for actions you approved, or allowed to run without approval, when the Service carried them out as configured.
Acceptable use#
You must not use the Service, or let an agent be used, to:
- break the law or infringe anyone's rights, including privacy and intellectual property rights;
- send spam or unsolicited bulk messages, or run fraud, phishing or impersonation;
- create or distribute malware, or attack, probe or overload any system;
- scrape or access websites or accounts in breach of their terms or without permission;
- harass, threaten or discriminate against anyone;
- bypass account isolation, usage limits, the code sandbox or other security controls.
We may suspend specific runs or workflows that appear to break these rules while we investigate, and we will tell you when we do.
Your content#
You keep all rights to the goals, workflows, data and outputs you create or process with the Service (“Your Content”). You give us a limited licence to host, copy, process and transmit Your Content only as needed to provide the Service to you. That licence ends when Your Content is deleted.
You confirm you have the rights and permissions needed for the data you ask Operon to process. We do not use Your Content to train AI models.
Connected apps#
When you connect a third-party app, your use of that app remains subject to its own terms. We are not responsible for third-party apps, their availability or changes to their APIs. You can revoke Operon's access at any time from the app or from the third-party service.
Trials, plans and billing#
- Trial. Every paid plan starts with a 14-day free trial. A card is required to begin. You will not be charged until day 15, and you can cancel any time before then at no cost.
- Subscription. After the trial, plans are billed in advance, monthly or annually, and renew automatically until cancelled. Prices are shown on our pricing section and exclude applicable taxes.
- Changes to your plan. You can upgrade or downgrade at any time. Changes are prorated to the day.
- Cancelling. Cancel from Settings → Billing. Your plan stays active until the end of the period you've paid for.
- Money-back guarantee. If you are not satisfied, we will refund your first payment in full when you ask within 30 days of it.
- Price changes. We will give at least 30 days' notice of any price increase, which applies from your next renewal.
Usage limits#
Each plan includes a run allowance, and the Service applies daily quotas and per-workflow rate limits to protect reliability. When you reach a limit, new runs pause until the limit resets or you change plans. We never charge automatic overage fees.
Open-source core#
The Operon core is available under the MIT licence, and your use of that source code is governed by that licence. These Terms apply to the hosted Service only. The Operon name and logo are our trademarks; see our brand guidelines before using them.
Availability and changes#
We aim to keep the Service available and reliable, but it may occasionally be interrupted for maintenance or by events outside our control. We improve the Service continuously and record notable changes in the changelog. If we remove a material feature from a paid plan, we will give you reasonable notice.
Ending the agreement#
You can stop using the Service and delete your account at any time. We may suspend or terminate your account if you seriously or repeatedly breach these Terms, if we are required to by law, or if your use creates a security risk. Where reasonable, we will give notice and at least 30 days to export Your Content. Sections 5, 12, 13 and 14 survive termination.
Disclaimers#
Except as expressly stated in these Terms, the Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that AI-generated plans or outputs will be accurate, complete or error-free.
Limitation of liability#
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.
Nothing in these Terms limits liability that cannot be limited by law, including your statutory rights as a consumer.
Law, disputes and contact#
These terms are governed by the laws of the place where Operon is established, and its courts have exclusive jurisdiction over any dispute. Before starting a formal dispute, please contact us so we can try to resolve it informally.
We may update these Terms. We will change the version and effective date above and, for material changes, email you at least 30 days in advance. Continuing to use the Service after a change takes effect means you accept it.
